Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the software, websites, APIs, and services (collectively, the “Services”) provided by Animedic LLC (“Animedic,” “we,” “us,” or “our”), a limited liability company based in Saint George, UT. By creating an account or using the Services, you agree to these Terms on behalf of yourself and, if applicable, your organization.

1. The Service

Animedic is a practice-management platform for veterinary practices. The Services help you manage clients, patients, medical records, appointments, prescriptions, inventory, invoicing, and related workflows. The Services are provided as a software-as-a-service offering and are updated continuously.

2. Accounts and eligibility

You must be at least 18 years old and authorized to bind your practice to these Terms. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at support@animedic.app if you suspect unauthorized access.

3. Subscriptions, trials, and billing

New practices receive a 30-day trial of our Professional tier. If you do not upgrade before the trial ends, your account automatically converts to the Starter tier at the standard Starter price (or the free tier, if applicable). Paid subscriptions renew automatically for successive terms unless cancelled. Fees are non-refundable except where required by law.

4. Your content and data

You retain all rights to the client, patient, medical, financial, and business records you enter into the Services (“Customer Data”). You grant us a limited license to host, copy, transmit, and display Customer Data solely to provide the Services to you. We will not sell Customer Data, and we will not use Customer Data to train machine-learning models without your separate written consent.

5. Acceptable use

You agree not to:

  • Violate any applicable law, regulation, or third-party right.
  • Upload content that is unlawful, infringing, defamatory, or intended to harass.
  • Reverse-engineer, decompile, or attempt to derive source code from the Services, except to the extent permitted by applicable law.
  • Use the Services to send unsolicited bulk communications in violation of applicable law.
  • Attempt to gain unauthorized access to the Services or to data belonging to another customer.

6. Veterinary records and professional responsibility

The Services are tools that support your professional practice. Animedic is not a veterinary provider, does not render veterinary advice, and is not a substitute for professional judgment. You are solely responsible for the medical decisions, prescriptions, controlled-substance records, and patient outcomes associated with your practice. You are responsible for ensuring that your use of the Services complies with all applicable veterinary, controlled-substance, and consumer-protection laws in your jurisdiction.

7. Third-party services

The Services may integrate with third-party services (for example, email delivery, payment processing, accounting software, or cloud storage). Your use of those services is governed by their own terms, and we are not responsible for third-party services.

8. Intellectual property

We and our licensors own the Services and all related intellectual property. Except for the limited right to use the Services as described in these Terms, no rights are granted to you.

9. Confidentiality

Each party will protect the other’s confidential information with at least the same degree of care it uses to protect its own, and not less than reasonable care. Customer Data is your confidential information.

10. Warranties and disclaimers

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure.

11. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost revenue, lost data, or business interruption, arising out of or related to these Terms. Each party’s aggregate liability under these Terms will not exceed the fees you paid to Animedic in the twelve (12) months preceding the event giving rise to the claim, or one hundred United States dollars (US$100) if no fees were paid.

12. Indemnification

You will defend, indemnify, and hold harmless Animedic and its officers, employees, and agents from and against any third-party claim arising out of (a) your violation of these Terms, (b) your violation of applicable law, or (c) Customer Data you upload to the Services.

13. Termination

You may cancel your subscription at any time from within the Services. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if your account poses a security risk. On termination, you may export your Customer Data for 30 days, after which we may delete it.

14. Governing law

These Terms are governed by the laws of the State of Utah, United States, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms will be brought exclusively in the state or federal courts located in Washington County, Utah, and each party consents to the personal jurisdiction of those courts.

15. Changes

We may update these Terms from time to time. Material changes will be notified at least 14 days in advance by email or in-app notice. Continued use of the Services after the effective date constitutes acceptance.
